SUBSCRIPTION SERVICE TERMS FOR CARRIERS<\/h1>

This Subscription Service Terms and Conditions (“Agreement”) is entered into by and between the subscriber (“Subscriber”, \u201cCarrier\u201d or “you”) and UTURN B.V. (\u201cUTURN<\/span>\u201d,<\/span> “Company<\/span>“, “<\/span>we,” or “us”). By subscribing to our services, you agree to be bound by the terms and conditions outlined below. Please read them carefully before subscribing.<\/span><\/span><\/p>

\u00a0<\/span><\/span><\/p>

1. Subscriptions plans<\/strong><\/h6>

1.1 Monthly Subscription. The monthly subscription plan is billed on a monthly basis, starting on the date of subscription. Subscription fees are paid in advance and will be billed in one-month intervals.<\/span>\u00a0<\/span><\/p>

1.2 Annual Subscription. The annual subscription plan is billed in full at the beginning of the subscription term and is valid for 12 months from the date of subscription. Subscription fees are paid in advance and will be billed in one-year intervals.<\/span>\u00a0<\/span><\/p>

2. Payment<\/strong><\/h6>

2.1 Billing. You agree to provide accurate and current billing information, including a valid payment method.\u00a0<\/span>\u00a0<\/span><\/p>

2.2 Automatic Renewal. Unless canceled, subscriptions will automatically renew at the end of each billing period. You authorize us to charge the applicable subscription fees to your chosen payment method.<\/span>\u00a0<\/span><\/p>

2.3 Price Adjustments. We reserve the right to adjust subscription prices, and we will make reasonable efforts to provide notice to you of any changes. Changes will take effect at the beginning of the next billing cycle.<\/span>\u00a0<\/span><\/p>

2.4 Notification of Price Changes.\u00a0<\/span>We will notify you of any changes to subscription prices via the email address associated with your account. It is your responsibility to review such communications and the updated pricing information.<\/span>\u00a0<\/span><\/p>

2.5 Right to Cancel.\u00a0<\/span>If you do not agree with the revised pricing, you have the right to cancel your subscription before the next billing cycle. Continued use of the services after the effective date of the price change constitutes acceptance of the new pricing.<\/span>\u00a0<\/span><\/p>

2.6 No Retroactive Charges.\u00a0<\/span>Price adjustments will not result in retroactive charges for the current billing cycle. You will be billed at the new rate upon the commencement of the next billing period.<\/span>\u00a0<\/span><\/p>

3. Cancellation and Refunds<\/strong><\/h6>

3.1 Cancellation by Subscriber. You may cancel your subscription at any time. Cancellations can be done through your account settings on our platform.<\/span>\u00a0<\/span><\/p>

3.2 Refunds. Subscription fees are non-refundable. If you cancel your subscription, you will not receive a refund for any unused portion of the subscription period.<\/span>\u00a0<\/span><\/p>

3.3 Termination by Company. We reserve the right to terminate or suspend your subscription at any time without the right to any compensation on this account and without the right to demand a refund for i) violation of these terms or any applicable laws, ii) misleading other Users of the Platform or violating their interests, iii) impeding the operation of the Platform or damaging the reputation of UTURN in any other way.<\/span>\u00a0<\/span><\/p>

4. Use of Services<\/strong><\/h6>

4.1 Access to the Matching Platform. The services include access to the matching platform, market insights and all features applicable to your subscription level.<\/span>\u00a0<\/span><\/p>

4.2 Restrictions. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the services, use of the services, or access to the services without the express written permission of the Company.<\/span>\u00a0<\/span><\/p>

4.3 Unauthorized Access. You agree not to access the services by any means other than through the interface provided by the Company.<\/span>\u00a0<\/span><\/p>

4.4 Compliance. You agree to comply with all applicable laws and regulations in your use of the services.<\/span>\u00a0<\/span><\/p>

4.5 Verification. Access to the matching platform is contingent upon successful completion of UTURN verification procedures. By subscribing to our platform, you acknowledge and agree that UTURN reserves the right to verify your identity, credentials, licenses and other relevant information as deemed necessary.<\/span>\u00a0<\/span><\/p>

Additionally, you must maintain the necessary insurance coverage. Failure to pass the verification procedures or maintain the required insurance may result in the denial or suspension of access to the platform, at the sole discretion of UTURN.<\/span>\u00a0<\/span><\/p>

Please note that payment of the subscription fee does not guarantee access to the platform if the verification procedures are not successfully completed or if the necessary insurance coverage is not maintained.<\/span><\/b>\u00a0<\/span><\/p>

It is your responsibility to ensure that you comply with our verification requirements and insurance obligations to continue accessing the services. UTURN reserves the right to modify the verification procedures and insurance requirements at any time, and such changes will be communicated to you in accordance with our terms and conditions.<\/span>\u00a0<\/span><\/p>

5. Privacy and Data Protection<\/h6>

5.1 Purpose of Data Processing.\u00a0<\/span>We collect and process your personal information for the purpose of providing and improving our services, communicating with you, and ensuring the security of your account.\u00a0<\/span>\u00a0<\/span><\/p>

5.2 Types of Data Collected.\u00a0<\/span>The types of personal data we may collect include, but are not limited to, your name, email address, billing information, your company\u2019s VAT, KVK number and any other information necessary for the provision of our services.<\/span>\u00a0<\/span><\/p>

5.3 Data Retention.<\/span>\u00a0<\/span>We retain your personal data only for as long as necessary to fulfill the purposes for which it was collected or as required by applicable laws and regulations. When your data is no longer needed, it will be securely deleted or anonymized.<\/span>\u00a0<\/span><\/p>

5.4 Data Sharing.\u00a0<\/span>We do not sell or trade your personal information to third parties without your explicit consent, except for the purposes of providing our services, complying with legal requirements, or protecting our rights.<\/span>\u00a0<\/span><\/p>

5.5 Consent.\u00a0<\/span>By subscribing to our services, you acknowledge that you have read, understood, and agree to the terms outlined in this Privacy and Data Protection clause.<\/span>\u00a0<\/span><\/p>

6. Modifications<\/strong><\/h6>

6.1 Changes to Terms. We reserve the right to <\/span>modify<\/span> these terms at any time. Changes will be effective <\/span>immediately<\/span> upon posting on our website or notification to you, it is your responsibility to regularly check for updates and review <\/span>notifications.<\/span> Continued use of the services after the effective date of any modifications <\/span>constitutes<\/span> acceptance of the modified terms. <\/span><\/span>\u00a0<\/span><\/p>

7. Governing Law<\/strong><\/h6>

7.1 Jurisdiction. This Agreement shall be governed by and construed in accordance with the laws of the Netherlands.<\/span>\u00a0<\/span><\/p>

8. Payment Failure and Recurring Charges<\/strong><\/h6>

8.1 Payment Authorization. By providing your credit card, bank draft or other payment information, you authorize us to automatically charge the applicable subscription fees to your chosen payment method.<\/span>\u00a0<\/span><\/p>

8.2 Declined Payments. If a credit card or bank draft transaction is declined, we will attempt to notify you promptly. It is your responsibility to ensure that your payment information is accurate and up to date.<\/span>\u00a0<\/span><\/p>

8.3 Payment Retry. If a payment is declined, we will make reasonable efforts to retry the payment. You may be subject to additional charges or fees imposed by your financial institution.<\/span>\u00a0<\/span><\/p>

8.4 Subscription Suspension. If payment issues persist, we reserve the right to suspend your subscription until the outstanding balance is settled. During the suspension period, access to the services may be restricted.<\/span>\u00a0<\/span><\/p>

8.5 Updating Payment Information. It is your responsibility to update your payment information to ensure uninterrupted service. You can update your payment information through your account settings on our platform.<\/span>\u00a0<\/span><\/p>

8.6 Reactivation. Once the outstanding balance is settled, your subscription will be reactivated, and billing will resume according to the original subscription terms.<\/span>\u00a0<\/span><\/p>

8.7 Termination for Non-Payment. If payment issues persist and the outstanding balance remains unpaid for an extended period, we reserve the right to either i) terminate your subscription or ii) to deduct the outstanding subscription fees from any outstanding payments for transport services. This deduction may be made at UTURN’s discretion and without prior notice to your company.<\/span>\u00a0<\/span><\/p>

8.8 No Liability for Loss of Data or Access. We shall not be liable for any loss of data, service interruptions, or other damages resulting from the suspension or termination of your subscription due to non-payment.<\/span>\u00a0<\/span><\/p>

9. Termination of Subscription<\/strong><\/h6>

9.1 Voluntary Termination by Subscriber.\u00a0<\/span>You may terminate your subscription at any time by following the cancellation procedures outlined in Section 3 of these Terms and Conditions. Upon termination, you will not be entitled to a refund of any unused portion of the subscription period.<\/span>\u00a0<\/span><\/p>

9.2 Termination by Company.<\/span>\u00a0<\/span>We reserve the right to terminate or suspend your subscription, with or without cause, at our sole discretion. Reasons for termination may include, but are not limited to, violation of these terms, non-payment, or any other conduct that we, in our sole discretion, deem unacceptable.<\/span>\u00a0<\/span><\/p>

9.3 Notice of Termination.<\/span>\u00a0<\/span>In the event of termination by the Company, we will make reasonable efforts to provide notice to you via the contact information associated with your account. Termination will be effective immediately upon notice.<\/span>\u00a0<\/span><\/p>

9.4 Effects of Termination.\u00a0<\/span>Upon termination, your access to the services will cease, and you must immediately cease all use of the services. Any outstanding balances or fees owed to the Company at the time of termination will remain due and payable.<\/span>\u00a0<\/span><\/p>

9.5 Data Retention.\u00a0<\/span>Following termination, we may retain your account information and data for a reasonable period, as necessary for legal or business purposes.<\/span>\u00a0<\/span><\/p>

9.6 No Liability for Termination.\u00a0<\/span>We shall not be liable to you or any third party for the termination of your subscription, and we reserve the right to refuse future service to anyone for any reason at any time.<\/span>\u00a0<\/span><\/p>

10. Security and Unauthorized Access<\/strong>\u00a0<\/span><\/h6>
10.1 Security Obligations.\u00a0You are responsible for maintaining the confidentiality of your account credentials, including usernames and passwords. You agree to take all necessary measures to ensure the security of your account and to prevent unauthorized access.<\/span>\u00a0<\/span>

10.2 Unauthorized Access Prevention.\u00a0<\/span>You agree not to share your account credentials or allow third parties to access the services using your account. Any unauthorized use of your account must be reported to us immediately.<\/span>\u00a0<\/span><\/p>

10.3 Security Measures.\u00a0<\/span>We employ industry-standard security measures to protect your data and prevent unauthorized access. However, you acknowledge that no system can be completely secure, and we cannot guarantee the security of your account or data.<\/span>\u00a0<\/span><\/p>

10.4 No Sharing of Account Information.\u00a0<\/span>You shall not share, sell, or transfer your account credentials to any third party. You are solely responsible for all activities that occur under your account.<\/span>\u00a0<\/span><\/p>

10.5 Notification of Unauthorized Access.\u00a0<\/span>If you become aware of any unauthorized use of your account or any other security breach, you agree to notify us promptly at info@uturn-now.com.<\/span>\u00a0<\/span><\/p>

10.6 Termination for Security Violations.\u00a0<\/span>We reserve the right to terminate or suspend your subscription immediately, without notice, if we reasonably believe that your account is being used in a way that violates security measures or jeopardizes the integrity of the services.<\/span>\u00a0<\/span><\/p>
